Welcome to Sorena AI! We provide technology and services that enable access to and use of Sorena AI's artificial intelligence models. These Terms of Service govern your use of Sorena AI, and the other websites, products, services, and technologies we offer.

The Services are provided by Sorena, a Swedish company incorporated in Stockholm.

1. Accessing the Services

Age requirements

You must be of legal age (age of majority) in your jurisdiction to use the Services. For users in Sweden, this means you must be at least 18 years old.

Sorena AI accounts

The Service require a Sorena AI account. You must provide complete and accurate account information and promptly update your account if any of your information changes. Your account is intended for your individual use only and you may not share your account with any other person. You are responsible for any activities conducted through your account, including activities of any end user provisioned with an account under your account ('End User Account'), whether or not those activities were actually conducted by you. You may not make account access credentials available to third parties, share individual login credentials between multiple users on an account, or resell or lease access to your account or any End User Account. You must promptly notify us at [email protected] or through the Help Center in the event you detect any unauthorized or fraudulent access or use of your account.

Admin accounts

If you have an admin account, you will have access to additional features, such as (a) adding authorized users to your workspace either by invitation or automatically, through the domain of their email address, (b) managing accounts within your workspace, and (c) managing features for the authorized users of your workspace.

2. Using the Services

Our Services

We grant you a non-exclusive right to access and use the Services only in compliance with these Terms, any applicable Additional Terms, all applicable laws and regulations, and any other documentation, guidelines, or policies we make available to you, including our Usage Policy. Some Services may be subject to certain restrictions, such as formatting or size restrictions, or rate limits. Any such restrictions can be found in the applicable documentation or on our platform. The different subscription plans applicable to the Services are described on our platform.

Restrictions

We own all right, title, and interest in and to the Services. You only receive rights to use the Services as explicitly granted in these Terms and any applicable Additional Terms. You will not, and will not permit any other person to use the Services or Your Data in a manner that violates any applicable laws, these Terms, or any of our policies; infringe third party rights; send us any personal information of children under 13; reverse engineer the Services; compromise security; or buy, sell, or transfer API keys or Service accounts.

3. Acceptable Use and Ethical Standards

Good Faith Usage

You agree to use the Services in good faith and for lawful purposes only. You must not abuse the Services or use them in any manner that could harm Sorena AI, our infrastructure, or other users. All interactions with our Services must comply with ethical standards and professional conduct.

Prohibited Conduct

You may not use the Services to: (a) harass, abuse, threaten, or harm any person or entity; (b) engage in fraudulent, deceptive, or manipulative practices; (c) generate or distribute malicious content, misinformation, or content intended to cause harm; (d) attempt to manipulate, deceive, or exploit vulnerabilities in our AI systems; (e) conduct activities that violate professional ethics or codes of conduct in your industry; (f) facilitate or encourage illegal activities; or (g) circumvent or attempt to circumvent any technical limitations, security measures, or usage restrictions we implement.

Respect for Others

You must not use the Services to abuse, harass, discriminate against, or cause harm to other users or third parties. This includes generating content that promotes hate speech, violence, discrimination, or content that violates the rights or dignity of others.

Responsible AI Use

You acknowledge that AI systems can be misused and agree to use our Services responsibly. You will not attempt to generate outputs that circumvent safety measures, produce harmful content, or exploit the AI system for malicious purposes. You agree to report any vulnerabilities or potential misuse of the Services to our security team.

Consequences of Violation

Violations of these acceptable use standards may result in immediate suspension or termination of your account, and you may be held liable for any damages or harm caused by your misuse of the Services. We reserve the right to cooperate with law enforcement and regulatory authorities regarding any illegal or abusive conduct.

4. Your User Data

Your Data

You and your authorized users may provide input to the Services, such as prompts or fine-tuning data ('Input'), and receive output from the Services based on such Input ('Output'). We refer to Input and Output collectively as 'Your Data'. You retain all ownership rights in Input and own all Output. We assign to you all right, title, and interest, if any, in and to Output that we may have.

Responsibility for Your Data

You are responsible for all Input and represent and warrant that you have all rights, licenses, and permissions required to provide Input to the Services. You are solely responsible for all use of the Outputs and evaluating the Output for accuracy and appropriateness for your use case.

Illegal content

You have the availability to report to us any of Your Data or Third-Party Content that violate our Usage Policy or that contains illegal content. You can report such content by using the report feature on the Services and/or by sending an email at [email protected].

5. Warranties; Disclaimer

Our Warranties

We warrant that, when used in accordance with these Terms and the applicable Additional Terms, the Services will conform in all material respects with the documentation we provide to you or otherwise make publicly available.

Your Warranties

You warrant that (a) you have the authority to enter into and accept these Terms and (b) you and your authorized users (if any) will use the Services in accordance with the applicable laws and regulations and these Terms.

Disclaimer

EXCEPT FOR THE WARRANTIES IN THIS SECTION 5 (WARRANTIES; DISCLAIMER), THE SERVICES ARE PROVIDED "AS IS" AND WE AND OUR AFFILIATES AND LICENSORS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND TITLE, NONINFRINGEMENT, OR QUIET ENJOYMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR TRADE USAGE. WE MAKE NO REPRESENTATIONS OR WARRANTIES (I) THAT USE OF THE SERVICES WILL BE UNINTERRUPTED, ERROR FREE, SECURE, OR BE SUITABLE FOR YOUR SPECIFIC PURPOSES OR USE-CASES, (II) THAT DEFECTS WILL BE CORRECTED, OR (III) THAT YOUR DATA WILL BE ACCURATE.

6. Indemnification and User Liability for Abuse

By you

You will indemnify, defend, and hold us and our affiliates, service providers, and licensors harmless against any liabilities, damages, and costs (including reasonable attorneys' fees) payable to a third party arising out of a third party claim related to (i) the use of the Services in violation of these Terms, (ii) any of your products or services that you make available to end-users in connection with the Services or Outputs, or (iii) Your Data.

Liability for Abuse and Misuse

You are fully liable for any damages, losses, or harm caused by your abuse, misuse, or unethical use of the Services. This includes but is not limited to: (a) harm caused to other users or third parties through your use of the Services; (b) damages resulting from your violation of acceptable use standards or ethical guidelines; (c) costs incurred by Sorena AI in investigating or responding to your abusive conduct; (d) damages arising from your generation or distribution of harmful, fraudulent, or illegal content using our Services; and (e) any losses resulting from your circumvention of security measures or technical limitations. You agree to compensate Sorena AI and affected parties for all such damages and associated costs, including legal fees.

Direct Harm Liability

In addition to third-party claims covered above, you are directly liable to Sorena AI for any harm, damage, or loss to our platform, infrastructure, reputation, or business operations caused by your violation of these Terms, abuse of the Services, or unethical conduct. This liability is separate from and in addition to any indemnification obligations.

By us

We will indemnify and defend you for any damages finally awarded by a court of competent jurisdiction and any settlement amounts payable to a third party arising out of a third party claim alleging that the Services infringe any third party intellectual property right.

7. Liability

Limitation of Liability

NEITHER WE NOR ANY OF OUR AFFILIATES, EMPLOYEES, SHAREHOLDERS, LICENSORS, AGENTS, SUPPLIERS, OR SERVICE PROVIDERS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, OR DATA OR OTHER LOSSES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY UNDER THESE TERMS AND ANY APPLICABLE ADDITIONAL TERMS WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID FOR THE SERVICE THAT GAVE RISE TO THE CLAIM DURING THE 3 MONTHS BEFORE THE LIABILITY AROSE OR 100 EUROS. THE LIMITATIONS IN THIS SECTION 7 (LIABILITY) APPLY ONLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

8. Term, Suspension, and Termination

Term

These Terms will commence on the earlier of (i) the date you first use the Services or (ii) the date you accept these Terms, and will continue until terminated.

Termination or suspension

We reserve the right to suspend or terminate your account and/or your access to all or part of the Services if: (i) you breach these Terms, (ii) you fail to pay any fees when due, (iii) we need to do so in order to comply with applicable law, or (iv) your continued use of the Services could cause risk or harm to Sorena AI, our users, or anyone else.

9. Privacy

Privacy Policy

We process your personal data as data controller for the purposes of (a) providing the Services (unless you are using our Services on behalf of your business) and (b) managing your relationship with us in accordance with these Terms, including any billing, payment, or marketing activities.

Processing personal data

If you use the Services to process personal data on behalf of your business you must (a) provide legally adequate privacy notices and obtain necessary consents for the processing of personal data by the Services, (b) process personal data in accordance with applicable law, and (c) execute our Data Processing Agreement.

10. Changes to these Terms or the Services

Updates to these Terms

We may update these Terms, the Additional Terms, our Usage Policy or our Services from time to time. We will give you at least 30 days advance notice of changes to these Terms that materially adversely impact you either via email or an in-product notification.

11. General

Governing law and venue

The laws of Sweden will govern all disputes arising out of or relating to these Terms, or related Services, regardless of conflict of laws rules. These disputes will be resolved exclusively in the courts located in Stockholm, Sweden, and you and Sorena AI consent to personal jurisdiction in those courts.

Entire Agreement

Unless otherwise agreed in writing between you and Sorena AI, these Terms, including our Usage Policy and any applicable Additional Terms, constitute the entire agreement between you and us concerning the Services.

AI Output Disclaimer

Not Professional Advice

The output generated by our AI services is for informational purposes only and should not be considered professional advice. Always consult with qualified domain experts (legal professionals, cybersecurity experts, etc.) before taking any action based on AI-generated content. Our service is designed to supplement, not replace, professional legal counsel or expert consultation.

Accuracy and Bias

While we strive for accuracy, AI-generated content may contain inaccuracies, biases, or errors. We make no representations or warranties about the completeness, reliability, or accuracy of AI outputs. Our AI analyzes vast amounts of compliance and legal data to offer insights and suggestions, but these are best-effort services based on available information.

No Liability

Sorena AI and its affiliates are not responsible for any decisions, actions, or consequences resulting from the use of AI-generated content. Users are solely responsible for verifying and validating any information before use. This includes any attempts to bypass human review processes or misuse of the AI system.

Limitations of AI Analysis

AI-generated advice may not account for all nuances of your specific situation. Regulations and legal landscapes change frequently, and our AI may not reflect the most recent updates. The system provides general insights based on patterns in data but cannot replace human judgment and expertise.

Intended Use

Use our AI Compliance Assist to get started, gain initial insights, and prepare for more informed discussions with your domain experts. The service is not intended as a standalone solution for legal or compliance decisions.

Human Review Requirement

Bypassing recommended human review processes or expert consultation is done at your own risk. We explicitly disclaim any liability for decisions made without appropriate expert review, regardless of the confidence level expressed in the AI output.

Data Currency

While we strive to maintain current information, the AI's knowledge cutoff date may mean it's not aware of recent developments. Users must independently verify the currency of any information provided.

No Circumvention

Any attempt to manipulate the AI system to generate outputs that circumvent legal requirements, professional review processes, or compliance procedures is strictly prohibited and may result in immediate termination of service access.

Context Dependency

AI outputs are highly dependent on the quality and completeness of input provided. Incomplete or inaccurate inputs will result in potentially misleading outputs. Users must ensure they provide complete and accurate context for their queries.

Regulatory Compliance

The use of AI-generated content in regulatory or compliance contexts is at the user's own risk. Users must ensure any application of AI outputs complies with relevant regulations, standards, and professional requirements in their jurisdiction.

Data Ownership and Rights

Output Rights Assignment

While we assign to you all rights to the AI-generated output, you remain solely responsible for how you use, implement, or act upon such output. This includes ensuring compliance with applicable laws, regulations, and professional standards.

Input Data Rights

You retain all ownership rights to your input data. By using our services, you grant us the necessary licenses to process your input data to provide the services.

Usage Responsibility

You are responsible for ensuring that your use of the output does not infringe on any third-party rights or violate any applicable laws or regulations.

Data Protection and GDPR Compliance

GDPR Compliance

As a Swedish company, we comply with the General Data Protection Regulation (GDPR) and Swedish data protection laws. We process personal data in accordance with our Privacy Policy and applicable data protection regulations.

Data Processing

When processing personal data on behalf of business users, we act as a data processor and require a Data Processing Agreement (DPA) to be in place.

International Transfers

Any international transfers of personal data are conducted in compliance with GDPR requirements, including appropriate safeguards such as Standard Contractual Clauses.

Security Measures

Data Protection

We implement industry-standard security measures including encryption in transit and at rest, secure coding practices, and regular security assessments. Our infrastructure is protected by enterprise-grade WAF/Firewalls and we maintain secure backup systems.

Access Controls

We maintain strict access controls, authentication mechanisms, and monitoring systems to protect your data. Our security measures are regularly audited and updated.

Incident Response

We maintain comprehensive incident response plans and will notify affected users of any security incidents in accordance with applicable laws and regulations.

Competitive Use Restrictions

AI Output and Training Data Restrictions

You are strictly prohibited from using any AI outputs, responses, or generated content from our Services to train, fine-tune, improve, or develop competing artificial intelligence models or systems. This includes but is not limited to using our outputs as training data for machine learning algorithms, benchmarking against competing AI services, or systematic extraction of AI responses for competitive purposes.

Competing Services Development

You may not use our Services, outputs, methodologies, or any insights derived therefrom to develop, enhance, or operate competing AI-powered legal, compliance, or cybersecurity platforms or services. This prohibition extends to creating derivative products, white-labeling our outputs, or reselling our AI-generated content as part of competing solutions.

Business Intelligence and Competitive Analysis

You are prohibited from using our Services to gather competitive intelligence, monitor our capabilities for competitive purposes, analyze our pricing or features for competitive advantage, or study our service architecture to replicate functionality in competing products.

Bulk Data Extraction

Systematic downloading, scraping, crawling, or bulk extraction of AI outputs, website content, documentation, or any other data from our Services is strictly prohibited, especially when intended for competitive use or creating competing datasets.

Copyright and Content Protection

Website Content Copyright

All content on our website, platform, and services, including but not limited to text, images, graphics, logos, designs, documentation, user interfaces, and educational materials, is protected by copyright and owned by Sorena AI. Unauthorized reproduction, distribution, or public display of any content is strictly prohibited.

Public Sharing and Distribution Restrictions

You may not copy, reproduce, share, post, or distribute any content from our Services on social media, blogs, public forums, presentations, conferences, or any other public platforms without prior written consent. This includes screenshots, recordings, or any other captured content from our platform.

Attribution and Misrepresentation Prohibitions

You may not present our copyrighted content as your original work, remove copyright notices or attribution, use our content to endorse other services, or misrepresent the source or accuracy of any copied content. All use of our content must maintain proper attribution where permitted.

Digital Content and Materials

Downloading, redistributing, or sharing our proprietary documentation, code examples, templates, frameworks, methodologies, or any digital materials is prohibited without explicit written permission. This includes mirroring or archiving our website content.

Limited Fair Use

Brief quotations for academic research or commentary may be permitted under fair use principles, provided they include proper attribution, do not exceed reasonable limits, and are not used for commercial purposes. Any substantial use requires prior written consent from Sorena AI.

Enforcement and Penalties

Monitoring and Audit Rights

We reserve the right to monitor usage patterns, conduct audits, and investigate potential violations of these competitive use and copyright restrictions. Users must cooperate with reasonable investigations and provide access to relevant records upon request.

Immediate Termination

Any violation of competitive use restrictions or copyright protections will result in immediate termination of your account and access to all Services, without refund of any fees paid. We may also pursue all available legal remedies.

Legal Remedies and Damages

Violations may result in monetary damages, including but not limited to actual damages, lost profits, and statutory damages where applicable. We reserve the right to seek injunctive relief to prevent ongoing violations and protect our intellectual property rights.

DMCA and Takedown Procedures

We will pursue DMCA takedown notices and other legal procedures to remove unauthorized use of our copyrighted content. Repeat offenders may be permanently banned from accessing our Services and may face additional legal consequences.

Reporting Violations

If you become aware of any violations of these restrictions, please report them immediately to [email protected]. We take all violations seriously and will investigate promptly.

Modifications to Terms

Right to Modify

We reserve the right to modify these Terms at any time. We will provide advance notice of any material changes through email or prominent notice on our services.

Continued Use

Your continued use of the Services after the effective date of any modifications constitutes acceptance of the updated Terms.

Previous Versions

We maintain archives of previous versions of these Terms, which are available upon request.

Dispute Resolution

Governing Law

These Terms are governed by Swedish law, without regard to its conflict of law principles.

Arbitration Agreement

All disputes arising out of or in connection with this Agreement, including any questions regarding its existence, validity, or termination, shall be finally settled by arbitration in accordance with the Arbitration Rules of the Arbitration Institute of the Stockholm Chamber of Commerce (SCC).

Arbitration Process

The arbitration shall be conducted in Stockholm, Sweden. The language of the arbitration shall be English. The arbitral tribunal shall consist of three arbitrators unless the amount in dispute is less than EUR 100,000, in which case a sole arbitrator shall be appointed.

Confidentiality

The existence and content of the arbitral proceedings and any rulings or award shall be kept strictly confidential by all parties involved.
